The Secret Diary of a Company Secretary

What really happens behind closed boardroom doors? The Secret Diary of a Company Secretary is a business book written in the style of a novel, offering a rare and engaging glimpse into the hidden world of corporate governance. The stories in this book are based on real people and real boardroom situations experienced throughout the author's career advising and supporting boards. Written by governance expert Erika Eliasson-Norris, Governance Assessor to the Post Office Horizon IT Inquiry, the book places readers inside the moments when organisations face their most difficult decisions. At the centre of these diary-style accounts is the company secretary - the trusted adviser who sits at the heart of decision-making and helps boards navigate risk, ethics, leadership challenges and organisational crises. To protect confidentiality, names and identifying details have been changed, but the events and dynamics described reflect genuine experiences from inside boardrooms. Blending storytelling with practical insight, the book weaves leadership lessons, governance analysis and statistics throughout the narrative, helping readers understand how organisations really function at the highest levels. From executive conflict and regulatory scrutiny to ethical stand-offs and moments of quiet courage, these stories reveal the judgement, resilience and influence required to uphold good governance. Insightful, engaging and grounded in real experience, this book is essential reading for board directors, governance professionals, aspiring company secretaries and anyone curious about how power and responsibility intersect at the top of modern organisations.
